Terms of Service – HEM Student Portal (HEM‑SP)

1. Acceptance of Terms

By accessing or using the HEM Student Portal (HEM‑SP), you agree to be bound by these Terms of Service, which form a binding agreement between your institution and Higher Education Marketing. If you do not agree to these terms, you may not access or use the portal.

2. Scope of Services

HEM‑SP is a digital platform that enables educational institutions to: (i) collect and manage student data via application forms, website forms, and landing pages; (ii) communicate with students and agents; (iii) manage academic records including courses, programs, lessons, attendance, and grades; (iv) provide students with access to a personalized dashboard; (v) manage agency and agent relationships; and (vi) optionally integrate with third‑party services such as Google and Microsoft for email and calendar features.

3. Account Provisioning and Access

Accounts are provisioned by educational institutions. Access is granted to authorized users only, and login credentials must be kept confidential. Institutions are responsible for ensuring that their users comply with these Terms.

4. Acceptable Use

Users must not: (i) use the portal for any unlawful or unauthorized purpose; (ii) interfere with or disrupt the operation of the portal; (iii) misrepresent their identity or access unauthorized data; or (iv) share or misuse login credentials. We reserve the right to suspend or terminate access for violations of these rules.

4A. Acceptable Use — Email & Calendar Integrations

When using HEM‑SP to send email or manage calendars via Google or Microsoft, you agree not to use the service to send unsolicited or unlawful messages and to comply with applicable anti‑spam and e‑privacy laws. You must follow Google and Microsoft sender requirements and anti‑abuse policies, and you must not attempt to circumvent rate limits or other provider safeguards.

5. Service Availability and Support

HEM‑SP is provided as a cloud‑based service with standard uptime and maintenance practices. While we strive to ensure high availability, we do not guarantee uninterrupted access. Support is available through designated communication channels for technical assistance and issue resolution.

6. Intellectual Property

All content, features, and functionality of HEM‑SP are the intellectual property of Higher Education Marketing or its licensors. Institutions may use the portal as intended, but may not copy, reproduce, or distribute any part of it without permission.

7. Data Privacy

Use of the portal is subject to our Privacy Statement. Institutions are responsible for ensuring appropriate consent is obtained from students and agents prior to data submission. We implement industry‑standard safeguards to protect personal data in accordance with applicable laws.

7A. Data Ownership and Processing

As between the parties, Customer owns all student, applicant, and end‑user content and personal data (“Customer Data”). Customer grants HEM the rights necessary to process Customer Data solely to provide and improve HEM‑SP, consistent with the Privacy Statement. HEM is a processor/service provider and does not sell Customer Data.

7B. Third‑Party Services & Provider Terms

HEM‑SP integrates with Google API Services and Microsoft Graph. These providers are not parties to this Agreement and may change or discontinue their APIs. Your use of those integrations is subject to the applicable provider terms and policies. HEM is not responsible for third‑party outages or policy changes beyond its reasonable control.

8. Modifications to Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email to institutional contacts. Continued use of HEM‑SP after such updates constitutes acceptance of the revised terms.

9. Termination

We reserve the right to suspend or terminate access to HEM‑SP if these Terms are violated or if service continuation is no longer feasible.

9A. Data Export and Deletion on Termination

Upon termination or at Customer’s request, HEM will make Customer Data reasonably available for export for a period of 30 days. After that period, HEM will delete or irreversibly anonymize Customer Data from production systems within 30 days, subject to any longer retention required by law or explicit Customer instructions.

9B. Security Commitments

HEM implements technical and organizational measures appropriate to the risk, including encryption in transit and at rest, access controls, logging/monitoring, and employee confidentiality obligations. See the Privacy Statement for details.

10. Limitation of Liability

To the maximum extent permitted by law, Higher Education Marketing shall not be liable for indirect, incidental, or consequential damages arising from the use or inability to use HEM‑SP. The service is provided “as is” without warranties of any kind.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein.
